The terms and conditions listed below (referred to as the "General Terms") and any additional terms and conditions pertaining to the usage of certain services (referred to as the "Service Specific Terms") make up this Agreement. The Service Specific Terms shall take precedence over the General Terms in the case of a dispute.
To accept the Agreement, you must be of legal age to engage in a binding contract. If you do not agree with the General Terms, kindly do not use any of our services. Do not use the relevant Service if you do not accept any Service Specific Terms; only the General Terms. By using the Services or by selecting a checkbox or clicking a button that indicates your approval of the Agreement, you indicate that you agree to the terms of service.
For enterprises, we offer cloud software and apps, along with related offline and mobile apps ("Service" or "Services"). You may use the Services for internal business purposes at the company you represent or for your own personal and professional use. Any web browser that the Services support can be used to connect to them. It is your responsibility to have an Internet connection and the necessary devices to use the Services. Using your user account, you have the ability to publish and distribute information as well as create and amend it.
You must create a user account and complete all required forms to access or use the Services. We advise you and all other users from your organization to register for user accounts by providing your corporate contact details if you are a representative of an organization and want to use the Services for internal corporate purposes. Specifically, we recommend using your company email address. As part of the sign-up process, you commit to:
(i) providing true, accurate, current, and complete information about yourself;
(ii) maintaining and quickly updating the information you provide to ensure it stays true, accurate, up-to-date, and comprehensive. Kryoni may terminate your user account and refuse you access to any or all of the Services in the future if you provide any information that is false, inaccurate, outdated, or incomplete, or if Kryoni has reasonable grounds to suspect that such information is false, inaccurate, outdated, or incomplete.
You can designate one or more administrators when you create an account for your company. The administrators will be able to manage end users in your organization’s account and customize the Services according to your specifications. It is possible that a third party who registered and set up your organization's account on your behalf also took on the administrator role for your organization. Ensure that you and the third party sign a proper agreement outlining the parties' responsibilities and limitations regarding the management of your organization's account.
You are responsible for
(i) keeping your organization account password private.
(ii) designating capable people to serve as administrators for your organization account.
(iii) ensuring that everything done in connection with your organization account complies with this Agreement.
You acknowledge that Kryoni is not responsible for handling the internal operations of the Services or account administration on your behalf.
It is your responsibility to take the appropriate action to prevent your company from losing control of the administrator accounts. If you submit an email to contact@kryoni.com, you can describe the procedure to follow if control of the administrator accounts is lost; however, the procedure must be approved by Kryoni. If there isn't a defined procedure for recovering an administrator account, Kryoni may grant access to an administrator account to a person who can convince Kryoni that they have the right to act on behalf of the company. You agree to absolve Kryoni of all liability for the results of any action that Kryoni takes in good faith in this respect.
The Kryoni Privacy Policy governs any personal information that you provide to Kryoni via the Service. By choosing to use the Service, you agree to the conditions stated in the Kryoni Privacy Policy. It is your responsibility to keep your password, username, and any private information private. You undertake to notify us immediately of any unauthorized use of your user account by emailing contact@kryoni.com. You are accountable for any actions that occur in your user account. If someone else gains unauthorized access to or uses your user account without authorization, we won't be held liable for any losses or damages that you or any third party suffer.
Certain Kryoni communications, such as newsletters, administrative messages, and service notifications, may be included in the Service. You understand that using the Services will be considered as having accepted these messages. We also provide you with the option to stop receiving our mailings as part of our commitment to your complete privacy. You won’t be able to choose not to receive administrative and service announcement communications.
We will forward complaints to the primary email address associated with your user account if we receive a complaint from anyone regarding your activities while using the Services (except in cases where the grievance redressal mechanism outlined under the heading "Grievance Redressal" applies). Within ten days of receiving the complaint that we provided to you, you must personally respond to the complainant and include Kryoni in the correspondence. We may provide the complaint access to your name and contact details so they can take legal action against you if you do not reply to them within ten days of the date of our communication to you. You acknowledge that Kryoni may use your name and contact information to contact the complainant if you do not reply to the forwarded complaint within the allotted 10-day period.
The mapping of your region or country to the available cloud facilities at the time of your sign-up determines the location of the cloud facility from which you are serviced. If there are any revisions to the region/country to cloud facility mapping at any point in time, we have the right to migrate your account or to force you to move your account to a new cloud facility. Since your IP address is used to establish your location and country, you must not hide it when you sign up for an account. Kryoni may take appropriate action, such as migrating your account or requiring you to migrate your account to the cloud facility corresponding to your region/country, or closing your account if at any time it is found that your real area or country differs from the region or country in our databases, banning you from using the Service. In addition to keeping the data at the cloud facility assigned to you, we could also store a local copy of the data in your area or country if you are being served from a cloud facility outside of it, and a Kryoni group business maintains an office there.
We honor your ownership rights to any material you produce or save. The material you produce or save is your own. You do not grant Kryoni permission to use, reproduce, adapt, alter, publish, or distribute any material you generate or save in your user account for Kryoni's marketing, commercial purposes, or any other purpose without your express permission when using the Services. However, you give Kryoni permission to access, duplicate, disseminate, store, transmit, reformat, publicly display, and publicly perform the content of your user account in public as long as it's necessary to do so in order to provide you with the Services.
The names of various Services, the Kryoni logo, and Kryoni itself are trademarks of Kryoni. You consent to obtaining prior authorization from Kryoni before displaying or using any of the company’s trademarks.
IT IS EXPLICITLY UNDERSTOOD AND AGREED UPON BY YOU THAT USING THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE." KRYONI DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE UNINTERRUPTED, TIMELY, SECURE, AND ERROR-FREE OPERATION OF THE SERVICES IS NOT GUARANTEED BY KRYONI. USING ANY MATERIAL OBTAINED VIA THE SERVICES IS SOLELY AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE, OR DATA RESULTING FROM SUCH USE. ANY ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED FROM KRYONI, ITS EMPLOYEES, OR REPRESENTATIVES, DOES NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT. >
You acknowledge that Kryoni shall not be held liable under any circumstances for any consequential, incidental, indirect, special, punitive, or other types of loss or damage, including but not limited to loss of business profits, interruption of business, computer failure, loss of business information, or any other loss that arises from or is caused by your use of or inability to use the service, even if Kryoni has been advised of the possibility of such damage.
You agree to indemnify and defend Kryoni, along with its officers, directors, employees, suppliers, and affiliates, against any losses, damages, fines, and expenses (including legal fees and costs) that arise from or are related to claims alleging your use of the Services violated another party's rights, breached any law, violated any terms of the Agreement, or were otherwise connected to your use of the Services, except in cases where such use is authorized by Kryoni.
We may update this Agreement at any time by sending you an email at your primary email address or by making a service announcement. You shall get at least thirty days' notice via email at your primary email address if we make material changes to the Agreement that impact your rights.
